1. Acceptance Of Terms

By accessing or using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility And Authority

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services on your own behalf. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. The Services

We may provide AI, voice, text, model, media generation, automation, API, analytics, and related software functionality. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law and any separate written agreement we have with you.

4. Accounts And Security

You are responsible for maintaining the confidentiality of account credentials, for all activities that occur under your account, and for promptly notifying us of any suspected unauthorized use or security incident.

5. Acceptable Use

You may not use the Services to:

• violate any law, regulation, court order, or third-party right;
• submit content you do not have the right to use, process, or share;
• infringe intellectual property, privacy, publicity, or confidentiality rights;
• interfere with or disrupt the Services, systems, or security measures;
• reverse engineer, scrape, or extract source code, models, prompts, or datasets except as permitted by law;
• upload malware, spam, harmful code, or deceptive content;
• generate or distribute illegal, abusive, fraudulent, harassing, or exploitative content;
• use the Services for political manipulation, impersonation, or social engineering;
• use the Services in connection with weapons development, biosecurity misuse, unlawful surveillance, or other clearly harmful conduct;
• use the Services to make solely automated decisions in high-risk contexts such as employment, housing, credit, insurance, education, healthcare, legal services, or public sector eligibility without appropriate human review and legal compliance.

6. Your Content

You retain ownership of the prompts, files, audio, data, and other content you submit to the Services. You grant PneumAI, LLC a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, modify, display, perform, and create derivative works from that content as necessary to provide, maintain, secure, improve, and enforce the Services and our rights.

You represent and warrant that you have all rights, permissions, and consents necessary for the content you submit and the way you use the Services.

7. AI-Specific Terms

The Services may generate text, code, images, audio, video, or other outputs. AI-generated content may be inaccurate, incomplete, offensive, unavailable, delayed, or unsuitable for your use case.

• You are solely responsible for reviewing, validating, and approving outputs before use or reliance.
• The Services do not provide legal, medical, financial, employment, tax, or other professional advice.
• You must not rely on outputs as the sole basis for high-risk or legally significant decisions.
• Output availability, quality, and style may change over time because models, providers, prompts, and safety systems may change.
• Similar or identical outputs may be generated for other users, and we do not guarantee exclusivity, originality, non-infringement, or protectability of outputs.

8. Feedback And Improvement Rights

If you provide feedback, suggestions, ideas, or evaluation data about the Services, you grant us a worldwide, perpetual, irrevocable, sublicensable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.

9. Third-Party Services

The Services may depend on or interoperate with third-party providers, including hosting, payments, analytics, speech, model, browser automation, and media generation providers. We are not responsible for third-party services, and their separate terms and policies may apply.

10. Beta Features

We may label some features as alpha, beta, preview, pilot, or similar. Those features are provided as-is, may be incomplete, may contain defects, and may be changed or discontinued at any time.

11. Suspension And Termination

We may suspend, restrict, or terminate access to the Services at any time if we believe you violated these Terms, created risk or liability, failed to pay fees when due, or your use could harm the Services, other users, or third parties. Sections that by their nature should survive termination will survive.

12. Intellectual Property

The Services, including software, interfaces, branding, documentation, and related technology, are owned by PneumAI, LLC or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

13. Fees And Taxes

If paid Services are offered, you agree to pay all fees, charges, and applicable taxes associated with your use. Unless stated otherwise, fees are non-refundable. We may change pricing prospectively.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PNEUMAI, LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RESULTS, AND AVAILABILITY.

15. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PNEUMAI, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You will defend, indemnify, and hold harmless PneumAI, LLC and its affiliates, officers, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Export Controls And Sanctions

You may not use or access the Services in violation of export control, sanctions, or trade laws. You represent that you are not located in, ordinarily resident in, or otherwise subject to restrictions in any prohibited jurisdiction, and are not on any government denied-party list.

18. Dispute Resolution; Arbitration

To the maximum extent permitted by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration rather than in court, except that either party may seek injunctive or equitable relief for misuse of intellectual property or confidential information. You and PneumAI, LLC waive any right to participate in a class action, class arbitration, or other representative proceeding.

If arbitration is unenforceable in your jurisdiction, disputes will be resolved exclusively in the state or federal courts located in a venue selected by PneumAI, LLC, and you consent to personal jurisdiction there.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except to the extent preempted by applicable federal law or prohibited by consumer protection law.

20. Changes To These Terms

We may update these Terms from time to time. The updated Terms will be effective when posted, unless otherwise stated. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
